These Terms of Service (“Terms”) govern access to and use of the SkillsNetPro platform, websites, applications, and related services (collectively, the “Platform”) operated by SkillsNetPro LLC, a Georgia limited liability company (“SkillsNetPro,” “we,” “us,” or “our”).

By creating an account, accessing, or using the Platform, you agree to be bound by these Terms. If you are using the Platform on behalf of an organization, you represent and warrant that you have authority to bind that organization, and “you” refers to both you and that organization.

1. Purpose of the Platform

SkillsNetPro provides software tools that enable professional business networking organizations to:

  • Administer and manage group meetings;
  • Assign participants into temporary small groups for networking purposes;
  • Facilitate voluntary member-to-member introductions;
  • View descriptive and engagement-related analytics regarding participation and activity.

SkillsNetPro is a neutral technology provider. We do not broker transactions, provide professional or business advice, verify referrals, or guarantee outcomes.

2. Eligibility and Accounts

You must be at least 18 years old to use the Platform. You are responsible for maintaining the confidentiality of your account credentials and for all activity conducted through your account.

You agree to provide accurate, current, and complete information and to keep your account information up to date.

3. Roles and Permissions

The Platform supports role-based access, which may include:

(a) Member

Members may participate in meetings and small groups, request or decline participation in small groups, make voluntary introductions, and view analytics relating to their own participation and group meetings.

(b) Group Admin / Facilitator

Group Admins may assign members to temporary small groups using Platform tools, manage group membership, run group meetings, and view group-level analytics. Group Admins do not moderate or supervise small group discussions and are not agents of SkillsNetPro.

(c) Organization Admin

Organization Admins may manage multiple groups, manage billing, and exercise Group Admin privileges within their organization.

(d) Platform Super Admin

SkillsNetPro retains full administrative authority, including the right to create organizations and groups, suspend or terminate accounts, and manage the Platform.

Permissions may vary by subscription plan and configuration.

4. Small Group Assignments

SkillsNetPro provides tools that allow Group Admins to assign members from a group meeting into temporary small groups (typically two to four participants). Assignments may be based on member requests, randomization, historical participation, professional attributes, or other criteria selected by the Group Admin.

SkillsNetPro does not host, monitor, moderate, or participate in small group discussions and makes no representations regarding compatibility, suitability, or outcomes of any interactions.

Participation in small groups is voluntary, and members assume all risks associated with such interactions.

5. Referrals and Introductions

The Platform facilitates visibility and tracking of voluntary member-to-member introductions. SkillsNetPro does not create, recommend, verify, endorse, or guarantee referrals.

Any tracking of referral outcomes or revenue is optional, self-reported by users, and provided for informational purposes only. Aggregated referral activity may be visible to Group Admins or groups.

SkillsNetPro is not responsible for the accuracy of referral data or for any business outcomes resulting from introductions.

6. Analytics and Insights

The Platform provides descriptive analytics and engagement-related insights, which may include participation metrics and non-advisory recommendations regarding potential connections.

All analytics are provided for informational purposes only and do not constitute professional, financial, or business advice. SkillsNetPro makes no guarantees regarding accuracy, completeness, or results.

Customers and administrators are solely responsible for decisions made based on analytics.

6A. Ratings, Recommendations, and Automated Analysis

The Platform may allow users to submit optional feedback or ratings regarding past interactions. The Platform may also generate suggestions or recommendations regarding potential connections based on multiple factors, which may include historical participation data, interaction feedback or ratings, referral-related activity, professional attributes, statistical analysis, or automated techniques, including machine-assisted or artificial intelligence methodologies.

All ratings, analytics, and recommendations are provided for informational purposes only. They do not constitute professional, financial, business, matchmaking, or advisory services and do not represent endorsements, evaluations, or guarantees of compatibility, suitability, quality, fairness, or outcomes.

Users are not required to follow or accept any recommendation. SkillsNetPro does not verify, validate, or warrant the accuracy or fairness of ratings, analytics, or recommendations.

Members, Group Admins, Organization Admins, and Customers are solely responsible for decisions made based on ratings, analytics, or recommendations.

7. Acceptable Use

You agree not to:

  • Misrepresent yourself or others;
  • Harass, abuse, or solicit members inappropriately;
  • Scrape, extract, or misuse Platform data;
  • Attempt to manipulate analytics or participation metrics;
  • Use the Platform for unlawful purposes.

Additional rules may be set forth in the Acceptable Use Policy, incorporated by reference.

8. Intellectual Property

SkillsNetPro retains all rights, title, and interest in the Platform. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Platform for internal business purposes.

You retain ownership of content you submit, but grant SkillsNetPro a license to host, process, display, and analyze such content in connection with providing the Platform.

9. Fees and Payment

Fees, billing cycles, and payment terms are as set forth in your subscription or order form. SkillsNetPro may suspend access for non-payment.

10. Suspension and Termination

SkillsNetPro may suspend or terminate access at any time for violation of these Terms or to protect the integrity of the Platform. Upon termination, your right to use the Platform ceases.

11. Disclaimers

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.” SKILLSNETPRO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SKILLSNETPRO SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES. SKILLSNETPRO’S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify and hold harmless SkillsNetPro from claims arising out of your use of the Platform or violation of these Terms.

14. Governing Law

These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law principles.

15. Changes

We may update these Terms from time to time. Continued use of the Platform constitutes acceptance of the updated Terms.

We may collect optional feedback, ratings, or similar input that users choose to provide regarding meetings or interactions with other members.

3. How We Use Information

We use information to:

  • Provide, operate, and improve the Platform;
  • Facilitate meetings, small group assignments, and introductions;
  • Generate descriptive analytics and engagement insights;
  • Communicate with users regarding the Platform;
  • Administer subscriptions and billing;
  • Maintain security and prevent misuse;
  • To generate descriptive analytics, engagement insights, and optional recommendations regarding potential connections;
  • To analyze usage patterns using automated techniques, including statistical analysis or machine-assisted (including AI-based) methods, to improve the Platform;
  • Comply with legal obligations.

4. Analytics and Aggregation

The Platform generates analytics based on participation and engagement data. Analytics may be displayed to users, Group Admins, or Organization Admins based on role permissions.

Analytics may be aggregated or anonymized and used to improve the Platform. SkillsNetPro does not sell personal information and does not use analytics to endorse or rank individuals for commercial purposes.

Automated analysis is used to provide informational insights and suggestions only and does not produce decisions with legal or similarly significant effects.

5. Sharing of Information

We may share information:

  • With other users, as determined by Platform functionality and your role;
  • With Group Admins or Organization Admins for group management purposes;
  • With service providers who assist in operating the Platform;
  • If required by law or legal process;
  • To protect the rights, property, or safety of SkillsNetPro or others.

We do not share personal information with third parties for their own marketing purposes.

6. Data Retention

We retain information for as long as necessary to provide the Platform and fulfill the purposes described in this Policy, unless a longer retention period is required or permitted by law.

7. Data Security

We implement reasonable administrative, technical, and organizational measures to protect information. However, no system is completely secure, and we cannot guarantee absolute security.

8. Your Choices

You may update or correct certain account information through the Platform. You may also request account deletion, subject to contractual or legal retention requirements.

9. Children’s Privacy

The Platform is not intended for individuals under the age of 18, and we do not knowingly collect information from children.

10. Changes to This Policy

We may update this Privacy Policy from time to time. Continued use of the Platform constitutes acceptance of the updated Policy.

SkillsNetPro Acceptable Use & Community Conduct Policy

This Acceptable Use & Community Conduct Policy (“Policy”) governs use of the SkillsNetPro platform (the “Platform”). This Policy is incorporated by reference into the SkillsNetPro Terms of Service (the “Terms”). Capitalized terms not defined here have the meanings given in the Terms.

SkillsNetPro is designed to support professional networking and collaboration. All users are expected to act professionally, lawfully, and in good faith.

1. General Standards of Conduct

You agree to: – Act honestly and professionally in all interactions; – Respect other members and administrators; – Use the Platform only for legitimate business networking purposes; – Comply with all applicable laws and regulations.

2. Prohibited Conduct

You may not, directly or indirectly:

(a) Misrepresentation

  • Impersonate any person or entity;
  • Misstate your identity, credentials, affiliations, or intent;
  • Provide false or misleading information in profiles or interactions.

(b) Harassment and Abuse

  • Harass, threaten, intimidate, or abuse other users;
  • Engage in discriminatory or hateful conduct;
  • Disrupt meetings or small group interactions.

(c) Improper Solicitation and Spam

  • Send unsolicited commercial messages;
  • Use the Platform primarily for mass solicitation;
  • Circumvent group norms or administrator rules regarding outreach.

(d) Data Misuse

  • Scrape, harvest, extract, or copy Platform data without authorization;
  • Use Platform data outside the Platform for purposes unrelated to networking;
  • Attempt to re-identify anonymized or aggregated data.

(e) Analytics Manipulation

  • Attempt to game, inflate, suppress, or distort participation metrics;
  • Coordinate behavior to artificially influence analytics;
  • Misrepresent analytics as endorsements or guarantees.

(f) Referral Misuse

  • Represent introductions as endorsed or verified by SkillsNetPro;
  • Pressure members into providing referrals;
  • Misuse referral-related information for deceptive or unlawful purposes.

(g) Technical Abuse

  • Interfere with or disrupt the Platform;
  • Attempt to bypass security controls;
  • Introduce malware or harmful code.

(h) Ratings, Feedback, and Recommendation Abuse

Users may not, directly or indirectly:

  • Submit ratings or feedback that are knowingly false, misleading, or retaliatory
  • Use ratings, feedback, or participation behavior to harass, pressure, or coerce other members
  • Attempt to manipulate, game, or distort analytics, ratings, or recommendations
  • Coordinate behavior intended to artificially influence how members are suggested or displayed
  • Represent ratings, analytics, or recommendations as endorsements or evaluations by SkillsNetPro.

SkillsNetPro reserves the right to restrict features, remove content, or suspend accounts for misuse of ratings, feedback, or recommendation-related functionality.

3. Group and Facilitator Rules

Group Admins or Facilitators may establish additional group-level rules or expectations. Such rules are set by the group or organization, not by SkillsNetPro.

SkillsNetPro is not responsible for enforcing group-specific rules and does not monitor private interactions.

4. Enforcement

SkillsNetPro reserves the right to investigate suspected violations and to take action, including:

  • Warning or notice;
  • Restriction of features;
  • Suspension or termination of accounts;
  • Removal of content;
  • Termination of group or organizational access.

SkillsNetPro does not monitor, review, or verify ratings or feedback for accuracy and has no obligation to investigate disputes between members regarding such submissions.

Enforcement decisions are made at SkillsNetPro’s discretion and may be taken without prior notice.

5. Reporting Violations

Users may report suspected violations through Platform-provided mechanisms or by contacting SkillsNetPro. SkillsNetPro is not obligated to act on every report.

6. No Waiver

Failure to enforce this Policy in one instance does not constitute a waiver of the right to enforce it in the future.

7. Changes

SkillsNetPro may update this Policy from time to time. Continued use of the Platform constitutes acceptance of the updated Policy.

SkillsNetPro Referral & Analytics Disclosures

These Referral & Analytics Disclosures (“Disclosures”) explain how referrals, introductions, and analytics function on the SkillsNetPro platform (the “Platform”). These Disclosures are incorporated by reference into the SkillsNetPro Terms of Service and apply to all users.

1. Referrals and Introductions

SkillsNetPro provides tools that enable members of professional groups to connect with one another. Any introductions or referrals that occur through the Platform are:

  • Initiated voluntarily by members;
  • Conducted directly between members;
  • Independent of SkillsNetPro.

SkillsNetPro does not:

  • Create referrals;
  • Recommend or endorse any member, product, or service;
  • Verify qualifications, representations, or claims;
  • Guarantee business outcomes or results.

Any decision to pursue a referral or business relationship is made solely by the participating members.

2. Referral Tracking and Metrics

The Platform may allow members to optionally record referral activity, outcomes, or revenue for their own informational purposes. All such information is:

  • Self-reported by users;
  • Optional;
  • Not verified by SkillsNetPro.

Referral-related metrics may be displayed in aggregated form to groups or administrators. Aggregated metrics are intended to reflect general activity levels, not individual performance, quality, or success.

3. No Endorsement or Guarantee

Referral activity, metrics, or summaries displayed on the Platform do not constitute:

  • An endorsement by SkillsNetPro;
  • A recommendation to engage any member;
  • A representation of competence, reliability, or results.

SkillsNetPro disclaims all responsibility for business outcomes, financial results, or disputes arising from referrals or introductions.

This applies equally to any ratings, analytics, inferred insights, or recommendations displayed on the Platform.

4. Analytics and Insights

The Platform provides descriptive analytics and engagement-related insights based on user participation and activity. Analytics may include historical summaries and non-advisory recommendations regarding potential connections.

The Platform may allow users to provide optional feedback or ratings regarding past interactions. Such feedback is subjective, reflects individual experiences, and is not verified by SkillsNetPro.

The Platform may also generate suggestions or recommendations regarding potential connections. These suggestions may be informed by multiple factors, including historical participation data, interaction feedback or ratings, referral-related activity, professional attributes, or automated analysis, including statistical modeling or machine-assisted (including AI-based) techniques.

Ratings, analytics, inferred insights, and recommendations:

  • Do not constitute endorsements, evaluations, rankings, or guarantees;
  • Do not assess competence, quality, suitability, or performance.

8. Assumption of Risk

By using the Platform, you acknowledge and agree that:

  • Interactions with other members involve inherent risk;
  • SkillsNetPro is not responsible for member conduct;
  • You are solely responsible for decisions based on referrals or analytics.
